ZOLYXO - TERMS OF SERVICE

Welcome to Zolyxo. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "You") and VoxTranscribe LLC, a Delaware company, USA ("Company," "we," "us"). By using our application Zolyxo ("Application") and services ("Services"), you agree to these Terms.

1. Description of Services
Zolyxo provides AI-based transcription, translation, and text summarization services, as well as other related functionalities.

2. User Account
To use the Services, you must create an account. You are responsible for the accuracy of the information provided and for maintaining the security of your password.

3. Usage and Billing Model (Pay-As-You-Go)
a. Zolyxo does not operate on a subscription basis. Services are used by purchasing time packages ("Potential Time") measured in hours, minutes, and seconds.
b. Consumption is calculated per second of AI processing (e.g., transcription). Your Potential Time balance is visible in your user profile.
c. All purchases are final, except as provided in our Refund Policy.

4. "My Zolyxo Potential" Program
By using the paid Services, you participate in our loyalty reward program. All rules, rights, and obligations related to this program are defined in a separate document, the "USER PARTICIPATION AGREEMENT IN THE FUTURE VALUE OF THE APPLICATION," which is a prerequisite for participation.

5. Investment via SAFE Agreement
Investment opportunities in the Company are separate from the use of the Services and are governed exclusively by the "ZOLYXO POST-MONEY SAFE" agreement. These Terms do not govern that relationship.

6. User Conduct
You are prohibited from using the Services for any unlawful activities, hate speech, intellectual property infringement, or in any manner that could harm the Application or other users.

7. Intellectual Property
a. Your Content: You are and remain the owner of your content (audio files, texts). By submitting content to the Application, you grant us a limited, non-exclusive license to process that content solely for the purpose of providing the Service to you.
b. Our Property: Zolyxo, including its logo, software, design, and brand, is the exclusive property of VoxTranscribe LLC.

8. Disclaimer of Warranties and Limitation of Liability
The Services are provided "as is" and "as available," without any warranties. Our total liability to you shall in no event exceed the amount you have paid to us in the preceding 6 (six) months.

9. Geographic Restrictions
Zolyxo's Services and investment opportunities are NOT available to citizens or residents of the United States of America (USA) and its territories, nor to individuals from countries sanctioned by OFAC, the UN, or the EU.

10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA. All disputes shall be resolved amicably in the first instance, and failing that, the courts of the State of Delaware shall have exclusive jurisdiction.
